• Use the Services to send spam, unauthorized marketing, or infringing content.

4. Payment and Billing

If you purchase any paid Services, you agree to pay all applicable fees. Payment terms and billing cycles will be disclosed during signup.

5. Subscription Plans

We offer monthly and annual plans. Multi-year agreements may be subject to additional incentives. Subscriptions will auto-renew unless canceled prior to renewal. All features and service limitations associated with each subscription tier will be enforced as per the selected plan. Downgrades or upgrades may result in changes to available functionality

6. Intellectual Property

All intellectual property in the Services is owned by Chatley.ai. Users may not copy, modify, or distribute any part of the Services without permission.

7. Confidentiality and NDA

Users agree to keep confidential all proprietary information as outlined in our mutual NDA, including technical, commercial, and customer data shared through the platform.

8. Suspension and Termination

We may suspend or terminate access to the Services for any user that violates these Terms or engages in behavior that harms the integrity of our platform.

9. Disclaimers

The Services are provided "as is" and without warranties of any kind. Chatley.ai does not guarantee uninterrupted service, data accuracy, or results.

10. Limitation of Liability

Chatley.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

11. Governing Law

These Terms shall be governed by the laws of the State of Florida, without regard to its conflict of laws rules.

12. Changes to Terms

We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance.
